This End-User License Agreement and Terms of Service ("Agreement") is a legal agreement between you ("you" or "User") and FileGriffon ("FileGriffon," "we," "us," or "our") governing your use of the FileGriffon desktop application, the FileGriffon website (filegriffon.com), and any related services, including license activation and update-check services (collectively, the "Software" or "Service").
BY CLICKING "ACCEPT," DOWNLOADING, INSTALLING, ACTIVATING A LICENSE FOR, OR OTHERWISE USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE, DO NOT INSTALL OR USE THE SOFTWARE, AND UNINSTALL IT IMMEDIATELY IF ALREADY INSTALLED.
If you are entering into this Agreement on behalf of a company or other legal entity, you represent you have authority to bind that entity, in which case "you" refers to that entity, and you personally represent and warrant that you have such authority.
You represent that you are at least the age of majority in your jurisdiction (18 in most jurisdictions) and are legally capable of entering into a binding contract. The Software is not directed at, and we do not knowingly permit use by, children under that age. If we learn a minor has obtained a License in violation of this section, we may terminate it without refund, to the extent permitted by applicable law.
You further represent that you are not located in, or a resident of, a country or region subject to comprehensive trade sanctions administered by the jurisdictions listed in Section 20, and that you are not on any restricted-party or denied-persons list maintained by such jurisdictions.
"Software" — the FileGriffon application in any form (installer, compiled binary, updates), including bundled third-party components (Section 11).
"Vault" — a monitored folder/drive location configured within the Software.
"License Key" / "License" — the credential issued by FileGriffon's license server (license.filegriffon.com) that unlocks paid features.
"Free Tier" — use of the Software without a paid License, subject to the feature limits described on filegriffon.com and enforced in-app (currently: one active Vault, capped PAR2 redundancy; limits may change — see Section 6.4).
"Trial" — a time-limited, one-per-installation evaluation period granting temporary access to paid-tier features, per Section 5.
"Subscription" — a recurring paid License (billed annually unless stated otherwise) that remains valid only while payments continue.
"Lifetime License" — a one-time paid License valid for the lifetime of the product, per Section 4.2.
3.1 Grant. Subject to your compliance with this Agreement and, where applicable, payment of all fees, FileGriffon grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software on devices you own or control, solely for your own internal data- integrity monitoring purposes. All rights not expressly granted are reserved by FileGriffon.
3.2 Seats. A paid License authorizes activation on up to three (3) devices ("seats") at a time. You may deactivate a seat and activate a different device, subject to a reactivation cooldown period. Circumventing seat limits (e.g. sharing one License across more concurrent devices than purchased) is a material breach of this Agreement.
3.3 No ownership transfer. This is a license, not a sale. FileGriffon and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights (copyright, trademark, trade secret, and any patent rights). You own none of the Software by virtue of this Agreement — only the limited rights expressly granted here.
4.1 Payment processor. Purchases are processed by Paddle.com Market Ltd ("Paddle"), acting as Merchant of Record. Your payment information is collected and processed by Paddle under its own terms and privacy policy, not directly by FileGriffon. FileGriffon disclaims all liability for Paddle's own acts, omissions, security incidents, or service failures, to the maximum extent permitted by law.
4.2 Subscription vs. Lifetime. Pro is offered as an annual subscription (auto-renews unless cancelled before the renewal date; access to paid features continues only while the subscription is active). A Lifetime License is a one-time payment granting permanent access to the version tier purchased plus all future updates, with no recurring charge.
4.3 Price changes. Prices may change for future billing periods or new purchases; changes will not retroactively alter an already-completed Lifetime purchase.
4.4 Refunds. Refunds are governed by our separate Refund Policy, available at filegriffon.com/refund-policy and at time of purchase. Where applicable law grants you a mandatory right to a refund or withdrawal period, that right applies regardless of anything in this Agreement or the Refund Policy.
4.5 Taxes. Prices may or may not include applicable taxes/VAT depending on your location; Paddle calculates and collects tax as required by law.
4.6 Chargebacks. Initiating a chargeback or payment dispute instead of first contacting us for support or a refund is itself grounds for immediate License suspension and, where the underlying purchase is otherwise valid, does not excuse you from fees owed. We reserve the right to contest chargebacks we believe are unwarranted and to recover processor-imposed chargeback fees to the extent permitted by law.
5.1 One Trial per installation/device fingerprint, as determined by FileGriffon's license server. Attempting to obtain additional trials via reinstallation, virtual machines, or other circumvention is a breach of this Agreement.
5.2 At Trial expiry, paid-tier features are not deleted or destroyed — they are paused. Specifically: only your oldest active Vault continues to be monitored; other Vaults remain intact and readable but stop being scanned until you purchase a License. Existing PAR2 parity files you created during the Trial continue to work for repair purposes indefinitely; only creation of new parity data at Trial-restricted redundancy levels is affected.
5.3 THE TRIAL IS PROVIDED FOR EVALUATION PURPOSES ONLY, ON AN "AS IS" BASIS, WITH NO ADDITIONAL WARRANTY OR SUPPORT COMMITMENT BEYOND WHAT SECTIONS 14-17 OTHERWISE PROVIDE FOR PAID USE. You should not rely on Trial-tier or Free-tier monitoring as your sole safeguard against data loss — see Section 15.
6.1 You will not: (a) reverse-engineer, decompile, or disassemble the Software, except to the extent such restriction is prohibited by applicable law; (b) redistribute, resell, sublicense, rent, or lease the Software or your License; (c) remove or alter any proprietary notices; (d) use the Software to build a competing product or to train a machine- learning model on the Software's code or outputs; (e) circumvent or attempt to circumvent License validation, seat limits, Trial limits, or any anti-abuse mechanism (including but not limited to device fingerprinting, activation cooldowns, or Vault-swap credit limits); (f) use the Software for any unlawful purpose, including to monitor, index, or retain files you do not have the legal right to possess or process; (g) interfere with or attempt to gain unauthorized access to FileGriffon's servers, license infrastructure, or other users' systems; (h) use the Software in any manner that could damage, disable, overburden, or impair FileGriffon's infrastructure.
6.2 Anti-abuse mechanisms disclosed. FileGriffon's Free tier and Trial enforce limits using a locally-stored device/installation identifier, a bounded allowance for Vault deletion/recreation ("swap credits"), and server-side reactivation cooldowns for seat changes. These exist to prevent abuse of free/trial access — see the Privacy Policy for exactly what is and is not transmitted to FileGriffon's servers.
6.3 Sole discretion to investigate and enforce. FileGriffon may investigate suspected violations of this Section by any reasonable technical means available to it (including analysis of license-server activation logs and anti-abuse signals) and may suspend or terminate access under Section 21 without prior notice where it reasonably suspects abuse, without liability to you for doing so.
6.4 Feature/tier changes. FileGriffon may adjust which features are included in the Free tier, Trial, Pro, or Lifetime tiers for future releases or new purchases, in its sole discretion. Changes will not retroactively remove a capability you already paid for under a Lifetime License, and will not retroactively shorten an already-granted Trial.
FileGriffon reserves the right to verify your compliance with the seat and usage restrictions in this Agreement through automated means built into the Software's normal license-activation and update-check flow (see Privacy Policy). We do not conduct manual audits of individual users' devices and have no ability to inspect the contents of your Vaults — this verification is limited to license-server-side signals (activation counts, fingerprints, timestamps), not your monitored files.
You retain all rights to the files and data on the drives you choose to monitor with the Software ("Your Data"). FileGriffon does not claim any ownership interest in Your Data, does not access Your Data remotely, and Your Data is never transmitted to FileGriffon's servers in the ordinary operation of the Software. See the Privacy Policy for what metadata about Your Data (e.g. file paths, keyed content hashes) is stored locally.
You are solely responsible for: (a) the legality of the data you monitor; (b) maintaining independent backups (Section 15); and (c) securing the device(s) the Software runs on, including OS-level access controls, full-disk encryption, and malware protection, none of which the Software provides or is a substitute for.
If you submit ideas, suggestions, bug reports, or other feedback about the Software ("Feedback"), you grant FileGriffon a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable license to use, modify, and incorporate that Feedback into the Software or any other product or service, without attribution, compensation, or any obligation to you. Do not submit Feedback that contains confidential information you wish to keep confidential, or that belongs to a third party.
FileGriffon may release updates to the Software from time to time. Some updates may be required to continue using the Service (e.g. for security or license-server compatibility reasons). Update-check functionality may contact FileGriffon's servers to determine the latest available version. FileGriffon has no obligation to provide updates, maintenance, or support for any specific period, except to the extent a Subscription's terms expressly say otherwise.
The Software invokes the following third-party, GPL-licensed command-line tools as separate subprocesses (mere aggregation — their inclusion does not place FileGriffon's own source code under the GPL): - smartctl (smartmontools), GPLv2-or-later - par2cmdline-turbo, GPL-2.0
Full license texts and attribution are included with the Software and available at Settings > General > "Third-party licenses." These components are provided "as is" under their own respective licenses; FileGriffon disclaims all liability for their functioning to the same extent it disclaims liability for its own code under Sections 14-17, and nothing in this Agreement restricts rights granted to you under those tools' own licenses with respect to the tools themselves.
Our collection and use of information in connection with the Software and Service is described in our Privacy Policy, available at filegriffon.com/privacy-policy, which is incorporated into this Agreement by reference.
From time to time the Software may offer features labeled "beta," "preview," "experimental," or similar. Such features are provided for evaluation only, may be changed or removed at any time without notice, may contain more bugs than generally-available features, and are provided "AS IS" with no warranty of any kind beyond what applicable law makes non-waivable. You should not enable beta/experimental features on Vaults containing data you cannot afford to lose, and you use them entirely at your own risk.
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. FILEGRIFFON DOES NOT WARRANT THAT: THE SOFTWARE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED; ANY DEFECTS WILL BE CORRECTED; THE SOFTWARE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR THAT IT WILL DETECT, PREVENT, OR REPAIR ALL FORMS OF FILE CORRUPTION, DATA LOSS, OR DRIVE FAILURE. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM FILEGRIFFON OR THROUGH THE SOFTWARE WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THIS AGREEMENT. YOU ACKNOWLEDGE THAT YOU HAVE NOT RELIED ON ANY STATEMENT, REPRESENTATION, OR WARRANTY OUTSIDE THIS AGREEMENT (INCLUDING MARKETING MATERIALS, SCREENSHOTS, OR SALES COMMUNICATIONS) IN DECIDING TO USE THE SOFTWARE.
FileGriffon is a file-integrity MONITORING and PARITY-REPAIR tool. It detects corruption, missing files, and (where PAR2 parity data has been created) can repair a limited amount of damage. IT IS NOT A SUBSTITUTE FOR BACKUPS. You are solely responsible for maintaining independent backups of any data you consider important, on separate media/locations, regardless of whether that data is monitored by FileGriffon. Detection of an issue by the Software does not guarantee recoverability, and PAR2 repair is only effective within the redundancy percentage you configured — damage beyond that percentage cannot be repaired. FileGriffon expressly disclaims any responsibility for data loss of any kind, from any cause, including but not limited to hardware failure, software bugs (in the Software or any third-party component it invokes), user error, malware, or acts of third parties, regardless of whether the Software was running, configured, or licensed at the time.
YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE SOFTWARE IS AT YOUR SOLE RISK. Drive/storage monitoring and parity-repair software necessarily interacts closely with your file system, and, by its nature, carries inherent risk of unintended data modification, deletion, or loss independent of any specific defect — for example (non-exhaustively) through user misconfiguration, third-party tool interaction (including the GPL components in Section 11), OS-level failures, or interrupted operations (e.g. power loss mid-write). You assume full responsibility for evaluating whether the Software is fit for your specific use case before relying on it, and for testing its behavior against non-critical data before deploying it against data you cannot afford to lose.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
17.1 EXCLUSION OF DAMAGES. IN NO EVENT WILL FILEGRIFFON, ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, REVENUE, GOODWILL, OR BUSINESS OPPORTUNITY, OR THE COST OF SUBSTITUTE SERVICES, ARISING FROM OR RELATED TO THIS AGREEMENT OR YOUR USE OF (OR INABILITY TO USE) THE SOFTWARE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF FILEGRIFFON HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR IF A REMEDY OTHERWISE PROVIDED FOR IN THIS AGREEMENT FAILS OF ITS ESSENTIAL PURPOSE.
17.2 CAP. FILEGRIFFON'S TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SOFTWARE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU ACTUALLY PAID FILEGRIFFON FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIFTY US DOLLARS (USD 50). THIS CAP APPLIES EVEN IF YOU USED THE FREE TIER OR TRIAL AND PAID NOTHING.
17.3 BASIS OF THE BARGAIN. YOU ACKNOWLEDGE THAT THE PRICE OF THE SOFTWARE REFLECTS THIS ALLOCATION OF RISK, AND THAT THIS LIMITATION IS AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND FILEGRIFFON; WITHOUT IT, FILEGRIFFON WOULD NOT BE ABLE TO PROVIDE THE SOFTWARE ON THESE TERMS.
17.4 INDEPENDENT LIMITATIONS. EACH PROVISION OF THIS AGREEMENT THAT PROVIDES FOR A LIMITATION OF LIABILITY, DISCLAIMER OF WARRANTIES, OR EXCLUSION OF DAMAGES IS INTENDED TO, AND DOES, ALLOCATE THE RISKS OF THIS AGREEMENT BETWEEN THE PARTIES, AND IS SEVERABLE AND INDEPENDENT OF ANY OTHER PROVISION. IF ANY REMEDY IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE, ALL LIMITATIONS AND EXCLUSIONS OF LIABILITY AND DAMAGES SET FORTH IN THIS AGREEMENT WILL REMAIN IN FULL EFFECT TO THE MAXIMUM EXTENT PERMITTED BY LAW.
Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions, the above limitations apply only to the extent permitted by law (see Section 19).
You agree to defend, indemnify, and hold harmless FileGriffon and its owners, officers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your use or misuse of the Software; (b) your violation of this Agreement; (c) your violation of any third-party right, including intellectual-property or privacy rights, in connection with data you choose to monitor with the Software; or (d) your violation of any applicable law in connection with your use of the Software. FileGriffon reserves the right, at your expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with FileGriffon's defense.
NOTHING IN THIS AGREEMENT EXCLUDES, RESTRICTS, OR MODIFIES ANY RIGHT OR REMEDY, OR ANY GUARANTEE, WARRANTY, OR OTHER TERM OR CONDITION, IMPLIED OR IMPOSED BY APPLICABLE LAW (INCLUDING CONSUMER-PROTECTION LAW) THAT CANNOT LAWFULLY BE EXCLUDED, RESTRICTED, OR MODIFIED. Where such law applies and prohibits the limitations in Sections 14, 17, or elsewhere in this Agreement, those limitations apply only to the maximum extent such law permits, and FileGriffon's liability is limited, at its option and to the extent the law permits it to do so, to re-supply of the Software or the cost of doing so.
The Software may be subject to export control and economic sanctions laws of the United States, European Union, Turkey, and other jurisdictions. You represent that you are not located in a country subject to comprehensive sanctions, and are not listed on any restricted-party list maintained by the U.S. Treasury's OFAC, the EU, the UN, or Turkey. You agree not to use, export, re-export, or transfer the Software in violation of any such laws.
21.1 By you. You may terminate this Agreement at any time by uninstalling the Software and, if applicable, ceasing use of any License.
21.2 By FileGriffon. FileGriffon may suspend or terminate your License, with or without notice, if: (a) you breach this Agreement (including the restrictions in Section 6); (b) you initiate a chargeback or payment dispute (Section 4.6); (c) FileGriffon reasonably suspects fraud, abuse, or a security threat; or (d) required by law. Where practicable, notice will be given, but immediate suspension without notice is reserved for cases of suspected fraud, abuse, or security risk.
21.3 Effect of termination. Upon termination of a License, paid features revert to Free-tier behavior as described in Section 5.2 (pause, not delete) unless termination was for fraud or the abuse behaviors described in Section 6, in which case FileGriffon may take reasonable additional steps to prevent continued unauthorized use, including permanent revocation of the License Key.
21.4 Survival. Sections 8-9, 11, and 14-26 survive termination.
21.5 Equitable relief. You acknowledge that a breach of Section 6 (Restrictions) or Section 11 (Third-Party Components) may cause FileGriffon irreparable harm not adequately compensable by monetary damages, and agree that FileGriffon is entitled to seek injunctive or other equitable relief for such a breach, without the necessity of posting a bond, in addition to any other remedy available at law.
22.1 This Agreement is governed by the laws of the Republic of Turkey, without regard to its conflict-of-law principles, except to the extent mandatory consumer-protection law of your country of residence grants you additional rights that cannot be waived by contract (Section 19).
22.2 Venue: the competent courts of Istanbul, Republic of Turkey.
22.3 Time limit on claims. To the extent permitted by applicable law, any claim arising out of or relating to this Agreement or the Software must be filed within one (1) year after the claim arose, or it is permanently barred, regardless of any longer statute of limitations that would otherwise apply.
FileGriffon may provide notices to you via the email address associated with your License purchase (if any), an in-app notice, or by posting on filegriffon.com. Notices to FileGriffon must be sent to the contact address in Section 26. Notice is deemed given 24 hours after email transmission or immediately upon in-app/website posting.
FileGriffon may update this Agreement from time to time. Material changes will be indicated by a new "Last updated" date at the top of this document, and continued use of the Software after a new version takes effect and is presented to you constitutes acceptance.
25.1 Entire agreement — this Agreement (together with the documents it incorporates by reference) is the entire agreement between you and FileGriffon regarding the Software, superseding prior agreements or representations (oral or written, including marketing materials) on the same subject.
25.2 Severability — if any provision is held unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the rest of the Agreement remains in full effect.
25.3 No waiver — failure to enforce any provision is not a waiver of it, and a waiver on one occasion is not a waiver of any future occasion.
25.4 Assignment — you may not assign this Agreement without FileGriffon's prior written consent; any attempted assignment in violation of this is void. FileGriffon may freely assign this Agreement in connection with a merger, acquisition, reorganization, or sale of assets.
25.5 Force majeure — FileGriffon is not liable for delay or failure to perform caused by events beyond its reasonable control (e.g. hosting/ license-server outages affecting activation, internet backbone failures, natural disasters, acts of government).
25.6 No third-party beneficiaries — this Agreement is for the benefit of you and FileGriffon only; it creates no rights in any third party (including Paddle, whose relationship with you is governed by its own separate terms).
25.7 Independent contractors — nothing in this Agreement creates a partnership, joint venture, agency, or employment relationship between you and FileGriffon.
25.8 Language — this Agreement is drafted in English. Any translation provided is for convenience only; the English version controls in the event of a conflict, to the extent permitted by applicable law.
